Terms of Service

1.1 "Applicable Data Protection Laws" means, all data protection and privacy laws and regulations of Singapore and any other jurisdiction directly applicable toDewx's Processing of the relevant Subscriber Personal Data under the Agreement, including the Personal Data Protection Act 2012 (No. 26 of 2012) of Singapore ("PDPA"), and any other applicable data protection laws as superseded, amended or replaced.

1.2 "Connected Account" means any third-party LinkedIn account, email system, or platform connected to, or integrated with, the Dewx Service by or on behalf of Subscriber.

1.3 "Connected Account Data" means any data collected from, or provided by, any Connected Account.

1.4 "Data Resale Activity" means selling, licensing, renting, transferring, disclosing, making available, publishing, or otherwise commercializing any data obtained from or through the DewxService (including Outputs, Performance Data, Third-Party Data, or any data enriched or verified via the Service), whether standalone, aggregated, appended, or incorporated into a data product, list, or service.

1.5 "Dewx Platform" or "Platform" means (i) the cloud-based technology, including application programming interfaces ("API") and (ii) the mobile applications used by Dewx to deliver theDewx Service to Subscriber.

1.6 "Dewx Service" means the on-line service(s) made available through the https://dewx.com website and mobile applications, delivered by Dewx to Subscriber using the DewxPlatform. The Dewx Service offers LinkedIn automation, email outreach campaigns, lead generation, contact enrichment, and CRM integration functionalities for business-to-business sales and marketing activities.

1.7 "Intellectual Property Rights" means all past, present, and future rights of the following types, which may exist or be created under the laws of any jurisdiction in the world: (a) rights associated with works of authorship, including exclusive exploitation rights, copyrights, moral rights, and mask work rights; (b) trademark and trade name rights and similar rights; (c) trade secret rights; (d) patent, patent rights, and industrial property rights; (e) other proprietary rights of every kind and nature; and (f) rights in or relating to registrations, renewals, extensions, combinations, divisions, and reissues of, and applications for, any of the rights referred to in clauses (a) through (e) of this sentence.

1.8 "Performance Data" means any log files, metadata, telemetry data and other technical performance data automatically generated by the DewxService relating to the use, performance, efficacy, reliability and/or accuracy of theDewx Service.

1.9 "Permitted Purpose" means Subscriber's business use of theDewx Service to manage and conduct Subscriber's own direct business-to-business (B2B) sales, marketing, recruiting, and business development activities of Subscriber, and expressly excludes any Data Resale Activity.

1.10 "Personal Data" has the meaning given in Applicable Data Protection Laws, including the PDPA.

1.11 "Processing" (including "Process", "Processes", "Processed", and other variants of the term) means any operation or set of operations that is performed upon Personal Data, whether or not by automatic means, such as collection, recording, organization, storage, adaptation, use, disclosure, deletion, or destruction.

1.12 "Singapore Spam Control Policy" means the anti-spam policy governing compliance with Singapore's Spam Control Act and related regulations.

1.13 "Subscriber Data" means, other than Aggregated Data, any content, including LinkedIn messages, email content, or campaigns, sent by Subscriber through the Dewx Service, including Inputs, Outputs, Connected Account Data, and any other information, data and other content that is submitted, uploaded or transmitted to the Dewx Service by or on behalf of Subscriber.

1.14 "Users" means Subscriber's employees, representatives, consultants, contractors, or agents authorized by Subscriber to access the Dewx Service.

2.1 Connected Accounts.

In order to access many of the features and functions of the Dewx Service, Subscriber will need to link one (1) or more Connected Accounts to the Dewx Service. By granting Dewx access to any Connected Account, (i) Subscriber represents and warrants that it is entitled to disclose any log-in information provided by Subscriber in connection therewith and/or to grantDewx access to such Connected Accounts, (ii) Subscriber represents and warrants that it is in good standing with respect to such Connected Accounts, and (iii) Subscriber acknowledges that Dewx may access any and all Connected Accounts and Connected Account Data in order to provide theDewx Service and otherwise in accordance with the terms of this Agreement.

2.2 Integrating Connected Accounts.

Subscriber acknowledges that in order to properly onboard to the Dewx Service, Subscriber will need to integrate Connected Accounts with the Dewx Service.Dewx's plans currently offer up to a maximum of one hundred (100) Connected Accounts per workspace, and Subscriber agrees not to exceed such limitation.

3.1 Support.

As part of the Dewx Service, Dewxwill use commercially reasonable efforts to properly route LinkedIn messages and emails sent by Subscriber and its Users to the recipients. However, Dewx cannot guarantee delivery rates or placement in primary inboxes due to factors beyondDewx's control, including recipient platform policies and spam filtering systems.

3.2 Eligible Support Recipient.

Subscriber will be responsible for appointing an administrator who will be in charge of collecting information and support requests from Users ("Eligible Support Recipient"). The Eligible Support Recipient may create a support ticket by sending a request to aggressiveroi@gmail.com.

4.1 Access Rights.

Subject to the terms and conditions of this Agreement and Dewx's approval,Dewx hereby grants to Subscriber a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Dewx Service solely for the Permitted Purpose. Subscriber shall not access or use the Dewx Service for any other purpose, including without limitation any Data Resale Activity.

4.2 Access and Security Guidelines.

Each User will use his or her unique username and password or single sign-on credentials to access the Platform. Subscriber acknowledges and agrees that: (a) only Users are entitled to access the Platform with their unique Credentials; (b) Subscriber will ensure that each unique Credentials will be used only by that User; (c) Subscriber is responsible for maintaining the confidentiality of all Users' unique Credentials; and (d) Subscriber will notify Dewx promptly of any actual or suspected unauthorized use of any account or Credentials.

4.3 Artificial Intelligence Tools.

Subject to this Agreement, Dewx makes available certain artificial intelligence tools for generating personalized outreach messages and optimizing campaign performance ("Dewx AI Tools"). Subscriber acknowledges that AI-generated content should be reviewed before use and thatDewx makes no warranties regarding the accuracy, effectiveness, or compliance of AI-generated outputs.

4.4 Restrictions.

Subscriber shall not, and shall procure that its Users shall not: (a) allow any third party to access the Platform or DewxService except as expressly allowed herein; (b) modify, adapt, alter or translate the Platform or Dewx Service; (c) reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform or Dewx Service; (d) use the Platform or Dewx Service to violate any applicable laws, including Singapore's PDPA, Spam Control Act, or platform terms of service; (e) engage in any Data Resale Activity; (f) send unsolicited commercial communications that violate Singapore law; (g) collect personal data without proper consent as required under the PDPA; or (h) use the service for any unlawful or inappropriate content.

4.5 Singapore Legal Compliance.

Subscriber acknowledges and agrees that it is solely responsible for ensuring compliance with all Singapore laws and regulations, including but not limited to:

• The Personal Data Protection Act 2012 (PDPA) regarding collection, use, and disclosure of personal data
• The Spam Control Act regarding unsolicited electronic communications
• LinkedIn's Terms of Service and User Agreement
• Any other applicable Singapore laws and platform policies

Subscriber represents and warrants that it has obtained all necessary consents for data collection and processing as required under the PDPA and will provide appropriate privacy notices to all data subjects.

4.6 Account Termination.

Dewx reserves the right, in its sole discretion, to suspend, disable, or permanently terminate this Agreement and/or ban any Subscriber or User from accessing the Dewx Service for violations of this Agreement, suspected abuse, or behavior deemed detrimental to the service.

5.1 Subscriptions.

Dewx offers various subscription plans available at https://dewx.com/pricing. All pricing is in Singapore Dollars (SGD) unless otherwise specified, and all payments will be made in SGD.

5.2 Fees.

Subscriber will pay Dewx the fees for the Dewx Service upon checkout, and thereafter, at such intervals in accordance with Subscriber's selected plan. All Fees are due in advance of each Subscription Term. Payment may be made by credit card or bank transfer.

5.3 No Refunds.

ALL FEES PAID UNDER THIS AGREEMENT ARE NON-REFUNDABLE AND NON-CANCELLABLE, except as may be required under Singapore consumer protection laws.

5.4 Taxes.

All Fees owed by Subscriber are inclusive of Singapore Goods and Services Tax (GST) where applicable. Subscriber shall pay any other applicable taxes that may be levied in connection with this Agreement.

5.5 Late Payments.

In the event of any delay in payment,Dewx will have the right to recover interest on late payments at a rate permitted under Singapore law and may discontinue the Dewx Service if any Fees are more than thirty (30) days overdue.

6.1 Dewx Platform and Technology.

Subscriber acknowledges that Dewxretains all right, title and interest in and to the Dewx Platform, including all algorithms, AI models, and proprietary technology used by Dewx. The "DEWX" name and all trademarks are owned by Dewx.

6.2 Responsibility for Subscriber Data.

Subscriber is solely responsible for any and all obligations with respect to the accuracy, quality and legality of Subscriber Data. Subscriber will obtain all necessary consents and permissions for Dewx to receive, use and Process the Subscriber Data to provide the Dewx Service, including all consents required under the PDPA. Subscriber represents and warrants that the Subscriber Data will not violate any laws or third-party rights.

6.3 License to Subscriber Data.

Subscriber retains all right, title and interest in the Subscriber Data. Subscriber hereby grants to Dewx a non-exclusive, worldwide, royalty-free license to: (a) access and use Subscriber Data to provide the Dewx Service; and (b) collect and compile data related to Subscriber Data in a de-identified, aggregated manner to improve the Dewx Service.

6.4 Data Processing Agreement.

In the event Subscriber provides Personal Data subject to the PDPA, the parties agree to execute a separate Data Processing Agreement that complies with Singapore's data protection requirements.

7.1 Definition.

Each Party acknowledges that it may receive confidential information from the other Party, including technical, business, marketing and financial information that could reasonably be considered confidential. The terms of this Agreement and the DewxTechnology shall be considered Confidential Information of Dewx.

7.2 Obligations.

During and after the Term of this Agreement, each Party shall: (i) not use or disclose Confidential Information without prior written consent; and (ii) take reasonable measures to maintain the confidentiality of the Confidential Information.

8.1 Term.

The term of this Agreement will commence on the Effective Date and continue until terminated in accordance with this Agreement. Each subscription will automatically renew for successive terms unless either party provides no less than thirty (30) days written notice of termination.

8.2 Termination.

Either party may terminate this Agreement upon written notice if the other party materially breaches the Agreement and does not cure such breach within thirty (30) days after written notice.

8.3 Effect of Termination.

Upon termination, Subscriber's access to the Dewx Service will cease, andDewx may delete Subscriber Data in accordance with applicable law and data retention policies.

9.1 Limited Warranty.

Dewx represents and warrants that theDewx Service will be performed in a professional and workmanlike manner.

9.2 Disclaimer.

TO THE MAXIMUM EXTENT PERMITTED BY SINGAPORE LAW, THE DEWX SERVICE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND DEWX MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. DEWXDOES NOT GUARANTEE DELIVERY RATES, MESSAGE PLACEMENT, OR COMPLIANCE WITH THIRD-PARTY PLATFORM POLICIES.

10.1 By Dewx.

Dewx will defend any claim that theDewx Service infringes third-party intellectual property rights under Singapore law.

10.2 By Subscriber.

Subscriber will defend Dewx against any claim arising from: (a) Subscriber's breach of this Agreement; (b) violation of Singapore laws including the PDPA or Spam Control Act; (c) unauthorized use of third-party data; or (d) violation of platform terms of service.

11.1 Types of Damages.

TO THE EXTENT PERMITTED BY SINGAPORE LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11.2 Amount of Damages.

EACH PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY SUBSCRIBER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.1 Governing Law.

This Agreement is governed by the laws of Singapore, without regard to its conflicts of laws provisions.

12.2 Jurisdiction.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

12.3 Informal Resolution.

Before initiating formal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations for a period of thirty (30) days.

13.1 Relationship.

Dewx is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or agency relationship.

13.2 Assignment.

Neither party may assign this Agreement without prior written consent, except in connection with a merger or sale of assets.

13.3 Notices.

All notices must be in writing and sent to:

If any provision is unenforceable, it shall be interpreted to accomplish its objectives to the greatest extent possible under Singapore law, and remaining provisions shall continue in effect.

13.5 Entire Agreement.

This Agreement, including incorporated policies, constitutes the complete agreement between the parties and supersedes all prior agreements regarding the subject matter.
